1. Acceptance of Terms
By downloading, installing, accessing, or using Sidian (referred to as the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions (referred to as "Terms"). If you do not agree to these Terms in their entirety, you must not use the Service and should immediately discontinue any access to or use of Sidian.
These Terms constitute a legally binding agreement between you (referred to as "User," "you," or "your") and Sidian Labs (referred to as "Company," "we," "us," or "our"). By continuing to use the Service, you represent that you have the legal capacity to enter into this agreement and that you will comply with all terms and conditions set forth herein.
2. Description of Service
Sidian is an AI-powered Integrated Development Environment (IDE) designed to assist users in writing, editing, and managing code through advanced artificial intelligence capabilities. The Service leverages cutting-edge machine learning models and intelligent algorithms to enhance your development workflow and productivity.
The Service includes a comprehensive suite of features designed for modern software development. These features include AI-powered code completion and suggestions that predict and recommend code as you type, helping you write faster and with fewer errors. Our intelligent code analysis and debugging assistance helps identify potential issues in your code before they become problems, providing explanations and suggested fixes. The Service offers automated code generation and refactoring capabilities that can create boilerplate code, restructure existing code for better performance or readability, and suggest improvements to your codebase. Sidian integrates seamlessly with various development tools and platforms, allowing you to maintain your existing workflow while benefiting from AI assistance. You can choose between local and cloud-based AI processing capabilities depending on your privacy requirements and performance needs, giving you complete control over how your code is processed.
3. Data Handling and Privacy
At Sidian, we understand that your source code is your most valuable asset and intellectual property. We have designed our Service with a privacy-first architecture that ensures your code remains under your complete control at all times.
3.1 Local Data Storage
Your codebase remains on your computer at all times during normal operation of Sidian. We do not store, transmit, or access your source code files without your explicit permission. All core IDE functionality, including code editing, syntax highlighting, and basic analysis, operates locally on your device without requiring any external communication. Importantly, we do not retain copies of your code on our servers under any circumstances. Your intellectual property stays exactly where it belongs: on your machine and under your control.
3.2 Limited Data Collection
While we don't collect your source code, we do collect minimal data necessary to provide and improve the Service. This limited data collection includes authentication credentials and user account information necessary to identify you and maintain your account security. We collect subscription and billing data to process payments and manage your subscription status. Usage analytics are collected in an anonymized and aggregated format to help us understand how features are being used and where we can make improvements. When errors occur, we collect error logs and diagnostic information, but these are carefully sanitized to ensure they contain no code content or sensitive information. This minimal data collection approach allows us to operate and improve the Service while respecting your privacy.
3.3 AI Processing
When you use cloud-based AI features in Sidian, certain AI functionalities may require temporary transmission of code snippets for processing by external AI models. However, it's critical to understand that these code snippets are processed in real-time and are not stored permanently by us or by our AI partners. All data transmitted for AI processing is protected using encryption in transit, ensuring that your code remains secure during transmission. Additionally, users always have the option to opt-out of cloud-based AI features entirely and maintain complete local processing, ensuring that no code ever leaves your machine if that's your preference.
4. AI Limitations and Disclaimers
While Sidian's AI capabilities are powerful and designed to assist you in your development work, it's crucial to understand the limitations and potential risks associated with AI-generated content. Artificial intelligence, by its nature, is probabilistic and can produce errors.
4.1 AI Accuracy Disclaimer
Important: Sidian's AI can make mistakes. This is a fundamental characteristic of all AI systems and must be understood by all users. The AI-generated code, suggestions, and analysis provided by Sidian are offered "as-is" without any guarantees of accuracy or correctness. AI outputs may contain errors, bugs, security vulnerabilities, performance issues, or even inappropriate or unexpected content. Every user must thoroughly review, test, and validate all AI-generated content before incorporating it into production code or mission-critical systems. We do not and cannot guarantee the accuracy, completeness, reliability, or suitability of any AI outputs for any particular purpose. The AI is a tool to assist you, but the ultimate responsibility for your code rests with you.
4.2 No Liability for AI Errors
Sidian Labs accepts no liability for issues, damages, or losses caused by AI-generated content. This includes, but is not limited to, code errors or bugs introduced by AI suggestions that cause your application to malfunction or behave unexpectedly. We are not liable for security vulnerabilities in AI-generated code that could lead to data breaches, unauthorized access, or other security incidents. We cannot be held responsible for data loss or corruption resulting from AI recommendations, whether the data is lost from your local machine, production systems, or elsewhere. Performance issues or system failures caused by implementing AI-suggested code are not our responsibility. If AI-generated code infringes on third-party intellectual property rights, we are not liable for such infringement claims. More broadly, we disclaim any liability for any damages, whether direct, indirect, incidental, consequential, or punitive, arising from the use of AI-generated content, regardless of whether we were advised of the possibility of such damages.
4.3 User Responsibility
As a user of Sidian, you bear sole responsibility for how you use AI-generated content. This means you must thoroughly review and test all AI-generated code before implementing it in your projects, ensuring it meets your requirements and works as expected. You are responsible for ensuring compliance with all applicable laws and regulations when using AI-generated code, including export controls, data protection laws, and industry-specific regulations. Maintaining appropriate backups and version control systems is your responsibility, protecting yourself against potential issues with AI-generated code. You must validate the security and performance of all AI-suggested modifications before deploying them to production environments. Finally, you are responsible for ensuring that any AI-generated code you use does not infringe on the intellectual property rights of others.
5. Intellectual Property
Intellectual property rights are clearly delineated between your code, AI-generated content, and Sidian's proprietary technology. Understanding these distinctions is important for protecting your rights and respecting ours.
5.1 Your Code and Content
You retain all rights, title, and interest in your source code and projects. This is a fundamental principle of how Sidian operates. We do not claim any ownership of any code you create or modify using the Service, whether that code was written entirely by you, suggested by our AI and then accepted by you, or represents a combination of your work and AI assistance. Your intellectual property remains entirely under your control, and you are free to use, modify, distribute, or commercialize your code however you see fit, without any obligations to Sidian Labs.
5.2 Sidian's Intellectual Property
The Sidian software, including its user interface, AI models, algorithms, and documentation, represents proprietary technology owned by Sidian Labs and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited license to use this software as described in these Terms, but you do not acquire any ownership rights. You may not reverse engineer, decompile, disassemble, or attempt to extract source code from Sidian or its AI models. You may not modify, create derivative works of, or attempt to circumvent any security measures or licensing mechanisms. All trademarks, service marks, logos, and brand elements displayed in connection with Sidian are the property of their respective owners and may not be used without permission.
5.3 AI-Generated Content
When Sidian's AI generates code suggestions or other content, and you choose to accept and incorporate that content into your project, it becomes part of your codebase and you assume full responsibility for it. While you have the right to use this AI-generated content as you see fit, you are responsible for ensuring that such content does not infringe on the intellectual property rights of third parties. Sidian Labs disclaims any responsibility for intellectual property issues that may arise from AI outputs, including potential copyright or patent infringement claims. Before using any AI-generated code in commercial products or public projects, we strongly recommend conducting appropriate due diligence to ensure you have the right to use such code.
6. User Obligations
By using Sidian, you agree to certain obligations and responsibilities that ensure the Service can be provided safely, securely, and in compliance with applicable laws. These obligations protect both you and other users of the Service.
You agree to use Sidian in compliance with all applicable local, national, and international laws and regulations, including but not limited to laws governing data protection, export controls, intellectual property, and computer fraud. You will not use the Service for any illegal, harmful, or malicious purposes, including creating malware, conducting cyber attacks, or engaging in any activity that could harm others or their systems. You will not attempt to circumvent security measures, access restrictions, rate limits, or any other technical limitations we have implemented to protect the Service and its users. You agree not to share your account credentials with unauthorized parties or allow others to use your account, as you are responsible for all activity that occurs under your account. You must maintain the confidentiality of your account information, including your password, and promptly notify us if you suspect any unauthorized access. If you discover security vulnerabilities or bugs in Sidian, you agree to report them to us responsibly through proper channels rather than exploiting them or disclosing them publicly before we have had an opportunity to address them. Finally, you agree to respect the intellectual property rights of others and not use Sidian to infringe on copyrights, patents, trademarks, trade secrets, or other proprietary rights.
7. Subscription and Billing
Sidian offers various subscription options to meet the needs of different users, from individual developers to large teams. Understanding our subscription and billing practices helps you choose the right plan and avoid any surprises.
7.1 Subscription Plans
Sidian offers various subscription tiers, each designed to provide different features and usage limits appropriate for different user needs. Our free tier includes basic functionality with certain usage limitations, allowing you to experience Sidian and determine if it meets your needs. Premium tiers provide enhanced AI capabilities, increased usage quotas, priority support, and access to advanced features. The specific features and limitations of each tier are described on our pricing page and may be updated from time to time. By subscribing to a particular tier, you acknowledge that you understand the features and limitations of that tier.
7.2 Billing and Payment
For paid subscription tiers, fees are billed in advance on either a monthly or annual basis, depending on the billing cycle you select. All payments are processed through secure third-party payment processors who comply with industry security standards, including PCI-DSS for credit card processing. We do not store your complete credit card information on our servers. Unless otherwise specified, all fees are non-refundable, except as may be required by applicable consumer protection laws in your jurisdiction. We reserve the right to modify our pricing structure and subscription fees with at least thirty days' advance notice to existing subscribers. If you don't agree with a price change, you can cancel your subscription before the new price takes effect.
7.3 Account Suspension
Your account may be suspended under certain circumstances. Non-payment of subscription fees may result in immediate suspension of your account and loss of access to premium features. Violation of these Terms, including abuse of the Service or prohibited activities, may result in suspension or termination. If your account is suspended, we will typically retain your account data for thirty days to allow you to resolve any outstanding issues and reactivate your account. After this period, if the account remains suspended, we may proceed with account deletion. You can reactivate suspended accounts by resolving the outstanding issues, such as paying past-due fees or addressing Terms violations, subject to our approval.
8. Limitation of Liability
It's important to understand the limitations on our liability when you use Sidian. These limitations are standard in the software industry and are designed to allow us to provide the Service at a reasonable cost while managing risk appropriately.
8.1 Service Provided "As-Is"
Sidian is provided on an "as-is" and "as-available" basis without warranties of any kind, either express or implied. This means we don't guarantee that the Service will be error-free, uninterrupted, secure, or that it will meet your specific requirements. We specifically disclaim all implied warranties, including but not limited to warranties of merchantability (that the Service is fit for general use), fitness for a particular purpose (that it will meet your specific needs), title, and non-infringement. We make no warranties about the accuracy, reliability, completeness, or timeliness of the Service, AI-generated content, or any information provided through the Service. The entire risk as to the quality and performance of the Service rests with you.
8.2 Limitation of Damages
To the maximum extent permitted by applicable law, Sidian Labs, its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of or inability to use the Service. This includes, but is not limited to, loss of profits, revenue, or business opportunities; loss of data or the cost of recovering data; loss of goodwill or reputation; business interruption; or any other commercial damages or losses, even if we have been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so these limitations may not apply to you.
8.3 Maximum Liability
In any event, our total aggregate liability to you for all claims arising from or related to the Service, whether based on contract, tort, strict liability, or any other legal theory, shall not exceed the total amount of fees paid by you to Sidian Labs for the Service during the twelve months immediately preceding the event giving rise to the claim. If you have not paid any fees to us, our total liability shall not exceed one hundred US dollars ($100). This limitation applies regardless of the form of action and shall survive any termination or expiration of these Terms.
9. Indemnification
You agree to indemnify, defend, and hold harmless Sidian Labs, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to several categories of issues.
This indemnification obligation covers claims arising from your use or misuse of the Service, including any damages caused by code you create using Sidian or AI-generated content you choose to implement. You agree to indemnify us for any claims resulting from your violation of these Terms or any applicable laws or regulations. If your actions violate any third-party rights, including intellectual property rights, privacy rights, or contractual rights, you agree to indemnify us against any resulting claims. Any content you submit to the Service or generate using the Service, and any claims arising from such content, are your responsibility and you agree to indemnify us accordingly. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at our expense, and you agree to cooperate with our defense of such claims.
10. Termination
Both you and Sidian Labs have the right to terminate your use of the Service under certain circumstances. Understanding these termination rights and their effects is important for managing your relationship with Sidian.
10.1 Termination by You
You may terminate your account and discontinue use of the Service at any time and for any reason. You can initiate account termination by contacting our support team at the email address provided in these Terms or by using the account deletion feature in your account settings if available. When you terminate your account, you will lose access to any premium features associated with your subscription, though you may be entitled to a prorated refund in certain circumstances as described in our refund policy or as required by law.
10.2 Termination by Us
We reserve the right to terminate or suspend your account immediately, with or without notice, for several reasons. If you violate these Terms in any material way, we may terminate your account to protect the integrity of the Service and other users. Fraudulent activity, including fraudulent payment information or attempts to defraud Sidian Labs or other users, will result in immediate termination. Illegal activity conducted through or in connection with the Service will result in termination and may be reported to appropriate law enforcement authorities. Abuse of the Service, such as excessive usage that impacts other users, attempts to circumvent usage limits, or harassment of other users or our staff, may result in termination. Non-payment of fees for an extended period will result in account suspension and eventual termination if the outstanding balance is not resolved.
10.3 Effect of Termination
Upon termination of your account, whether initiated by you or by us, several consequences follow. Your access to the Service will immediately cease, and you will no longer be able to log in or use any features of Sidian. Your account data, including settings and preferences, may be deleted after a reasonable retention period, typically thirty days, though we may retain certain information for longer periods as required by law or for legitimate business purposes such as fraud prevention. Certain provisions of these Terms that by their nature should survive termination will remain in effect, including provisions related to intellectual property, indemnification, limitation of liability, and dispute resolution. If your account was terminated for Terms violations, we reserve the right to refuse to provide the Service to you in the future.
11. Global Compliance
Sidian is available to users around the world, but laws and regulations vary by jurisdiction. Understanding your obligations and our compliance efforts helps ensure lawful use of the Service regardless of where you're located.
11.1 International Use
Sidian is available globally, subject to compliance with local laws and regulations in your jurisdiction. As a user, you are responsible for ensuring that your use of the Service complies with all applicable laws in your country or region, including but not limited to data protection laws, export control regulations, intellectual property laws, and any industry-specific regulations that may apply to your work. We make no representation that the Service is appropriate or available for use in all locations, and accessing the Service from territories where its content or functionality may be illegal is prohibited. If you access Sidian from outside India, you do so at your own initiative and are responsible for compliance with local laws.
11.2 Export Controls
The Service and its underlying technology may be subject to export control laws and regulations of India, the United States, and other countries. You agree not to export, re-export, or transfer the Service or any related technical data, directly or indirectly, in violation of applicable export laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country to which India or the United States has embargoed goods or services, and that you are not listed on any government list of prohibited or restricted parties. You agree to comply with all applicable export control laws and not to use the Service for any purposes prohibited by such laws, including but not limited to the development of weapons of mass destruction.
11.3 Data Protection
We take our data protection obligations seriously and comply with applicable data protection laws in the jurisdictions where we operate and where our users are located. This includes the European Union's General Data Protection Regulation (GDPR), which provides comprehensive protections for personal data of EU residents. For users in California, we comply with the California Consumer Privacy Act (CCPA) and related regulations. We also comply with other regional privacy regulations as applicable, including the UK GDPR for users in the United Kingdom, the Personal Information Protection and Electronic Documents Act (PIPEDA) in Canada, and the Lei Geral de Proteção de Dados (LGPD) in Brazil. 12. Privacy and Data Protection

The key principle of our privacy approach is that we do not store your source code. This fundamental architectural decision ensures that your most valuable intellectual property remains entirely under your control and never resides on our servers. We practice minimal data collection, focusing only on information necessary to operate the Service, process payments, and improve functionality. The data we do collect is limited to account information, billing data, anonymized usage analytics, and error reports that are sanitized to remove any code content.
We implement strong encryption and security measures to protect the data we do collect, including encryption in transit using TLS protocols and encryption at rest for stored data. We employ industry-standard security practices to prevent unauthorized access, use, or disclosure of your information. Importantly, you maintain control over data sharing and AI features. You can choose whether to use cloud-based AI features that might transmit code snippets for processing, or you can opt for local-only processing to ensure your code never leaves your device. You can also control what usage analytics are collected and can disable non-essential tracking at any time.
13. Updates and Modifications
Technology evolves rapidly, and we continuously work to improve Sidian and adapt to changing user needs, security requirements, and legal obligations. This means both the Service and these Terms may be updated from time to time.
13.1 Service Updates
We may update Sidian regularly to introduce new features, improve functionality, enhance security, fix bugs, and optimize performance. Some updates may be applied automatically to ensure all users benefit from the latest improvements and security patches, while other updates may require user action such as downloading and installing a new version. We strive to make updates seamless and non-disruptive, but we cannot guarantee that updates will never cause temporary service interruptions or require changes to your workflow. By using Sidian, you acknowledge that the Service will evolve over time and that updates are a normal and necessary part of maintaining a modern software application.
13.2 Terms Updates
We may modify these Terms from time to time to reflect changes in our business practices, legal requirements, or the features we offer. When we make changes to these Terms, we will update the "Last Updated" date at the top of this document. For material changes that significantly affect your rights or obligations, we will provide notice through one or more channels, such as email to the address associated with your account, in-app notifications when you next use the Service, or prominent notices on our website. Your continued use of Sidian after we make changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you should discontinue use of the Service and may close your account. 14. Miscellaneous
The following provisions address various legal and procedural matters that govern your relationship with Sidian Labs and the interpretation of these Terms.
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Sidian Labs concerning your use of the Service. These Terms supersede all prior or contemporaneous negotiations, discussions, agreements, or understandings, whether written or oral, between you and Sidian Labs regarding the subject matter herein. No other agreements, representations, or warranties, whether written or oral, shall be binding unless explicitly incorporated into these Terms through a written amendment signed by an authorized representative of Sidian Labs.
14.2 Severability
If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, such finding shall not affect the validity, legality, or enforceability of the remaining provisions. The invalid, illegal, or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent to the greatest extent possible. If such modification is not possible, the provision shall be deemed severed from these Terms, and all other provisions shall remain in full force and effect.
14.3 Governing Law
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. This means that Indian law will apply to any disputes or claims arising from these Terms, regardless of where you are located or where you access the Service from. However, this choice of law does not affect your rights as a consumer under the mandatory consumer protection laws of your country of residence, if different from India.
14.4 Dispute Resolution
Any disputes, claims, or controversies arising out of or relating to these Terms, the Service, or your relationship with Sidian Labs shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in English and shall take place in Bangalore, India, unless otherwise agreed by the parties. The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if the parties cannot agree, appointed in accordance with the rules of the Indian Council of Arbitration. The decision of the arbitrator shall be final and binding on both parties. However, either party may seek equitable or injunctive relief in a court of competent jurisdiction to prevent irreparable harm. You waive any right to participate in class actions or class arbitrations. Some jurisdictions do not allow arbitration of certain disputes, and if you are located in such a jurisdiction, this arbitration clause may not apply to you.
